Summary of Job: Provides legal counsel and guidance to executive and management teams, and board of directors. Serves as a strategic partner to the leadership team, including continuous contact with CEO, EVP’s, and senior management on legal issues arising within their areas of responsibilities; product innovation, healthcare operations, and IT. 

  • Oversee and supervise all Board related activities, including notices of meetings, maintenance of agendas, recording of minutes and actions of the Boards and all Board Committees, providing custody of corporate records, providing counsel on Board related matters, reviewing and updating Articles of Incorporation and By-laws, making reports to the Board and all other Board related matters
  • Prepares and revises proposed contracts, formal agreements and other legal documents for the corporation.
  • Provides advice with respect to all corporate transactions
  • Manages retention of outside counsel by the corporation to obtain legal opinions or handle claims and advice on regulatory and compliance matters.
  • Provides counsel regarding the conduct of all interactions with municipal, state and federal bureaus, departments and agencies.
  • Manages legal due diligence in connection with mergers and acquisitions of entities.

 

Qualifications:

  • Juris Doctor and admission to the New York State Bar are required.
  • Minimum 12-15 years of experience in all phases of corporate law.
  • Broad experience in dealing with all legal issues arising in a healthcare environment, with experience in Payor preferred.
  • At least 10 years of managed care experience or equivalent.
  • Previous experience in an in-house legal environment in a mid-sized organization preferred.
  • Excellent oral and written communication, negotiation, problem solving, and interpersonal skills.
  • Customer focused and “big picture” approach to legal issues.
  • Excellent educational credentials.
  • Demonstrated ability to work independently with little to no supervision (other than strategic consultation), and to manage numerous and changing priorities with ease.
  • Demonstrated ability to interact with and command respect of CEO, Boards of Directors, other senior managers and outside stakeholders.
  • Demonstrates maturity and good judgment.
  • Directs the registration, renewal and protection of trademarks.
  • Oversee attorneys, paralegals and consultants responsible for developing legal tools and will provide direction to the teams to assist them in providing efficient and effective services.
